Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you" or "your") and Fleegital Inc. ("Fleegital," "we," "us," or "our") concerning your access to and use of the Fleegital platform, website, mobile applications, APIs, and all related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you must not access or use the Platform.

Fleegital is a comprehensive driver recruiting operating system designed for the US trucking industry. The Platform provides the following services, subject to your subscription plan:

• Unified Recruiting Inbox — Centralized management of leads from multiple sources including Facebook, Indeed, website forms, SMS, and manual entry
• AI Pre-Qualification Engine — Automated driver screening with conditional logic, risk scoring, and configurable compliance rules
• Recruiting Pipeline & ATS — Visual drag-and-drop pipeline management with custom stages and recruiter tracking
• Automation & Communication — SMS sequences, email campaigns, AI-suggested replies, task reminders, and SLA timers
• ROI Attribution Dashboard — Campaign-to-hire tracking, cost-per-lead and cost-per-hire analytics, and executive reporting
• Hiring Funnels & Landing Pages — Landing page builder with pay calculators, video testimonials, and A/B testing
• Retention & Referral Tools — Driver referral tracking, pulse surveys, feedback management, and retention analytics
• VoIP Calling & Call Recording — Integrated telephony via RingCentral for calling and SMS
• Email Integration — Gmail and Outlook connectivity for recruiting communications
• Churn Prediction & AI Chat — AI-powered insights, predictions, and conversational assistance

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, with reasonable notice to active subscribers.

To access the Platform, you must register an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and accept responsibility for all activity under your account
• Promptly update your account information if it changes
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with unauthorized individuals

You may invite team members (recruiters, managers, administrators) to your organization's account. You are responsible for ensuring that all users under your account comply with these Terms. Organization administrators can manage user roles and permissions through the Platform's team management features.

You agree not to use the Platform to:

• Violate any applicable federal, state, or local laws or regulations, including FMCSA, TCPA, CAN-SPAM, and GDPR
• Send unsolicited bulk SMS or email messages (spam) in violation of TCPA or CAN-SPAM
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other users' accounts or our systems
• Use the Platform for any purpose other than driver recruiting and fleet management operations
• Scrape, data mine, or systematically extract data from the Platform
• Resell or sublicense access to the Platform without written authorization
• Interfere with or disrupt the Platform's infrastructure or other users' experience
• Submit false or misleading driver qualification information
• Use AI features to make discriminatory hiring decisions based on protected characteristics

The Platform, including all source code, databases, functionality, software, designs, text, graphics, and trademarks, is owned by Fleegital Inc. and protected by copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of all data, content, and materials you upload or create on the Platform ("Your Content"). By using the Platform, you grant Fleegital a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing and improving the Platform.

Feedback: Any suggestions, ideas, or feedback you provide about the Platform may be used by Fleegital without obligation or compensation.

The Platform integrates with third-party services including Meta (Facebook/Instagram), Google (Gmail/Google Workspace), Microsoft (Outlook), RingCentral, HubSpot, Indeed, and other job board platforms.

By connecting these integrations, you agree to:

• Comply with each third-party service's terms of service and acceptable use policies
• Authorize Fleegital to access and process data from these services on your behalf
• Accept that third-party service availability is beyond Fleegital's control
• Acknowledge that changes to third-party APIs may temporarily affect integration functionality

Fleegital is not responsible for the privacy practices, data handling, or service quality of third-party providers. We encourage you to review their respective terms and privacy policies.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Data Ownership: You own your recruiting data. Upon termination of your account, you may request a full export of your data in a standard format. We will retain your data for 30 days after account closure, after which it will be permanently deleted unless required by law.

Data Processing: For enterprise customers, we offer Data Processing Agreements (DPAs) upon request, in compliance with GDPR and other applicable data protection regulations.

Fleegital provides tools and features designed to assist with compliance with Federal Motor Carrier Safety Administration (FMCSA) regulations, Department of Transportation (DOT) requirements, and other applicable industry regulations.

You are responsible for the accuracy of driver qualification files, drug testing records, safety documentation, and all other compliance-related data entered into the Platform.

Disclaimer of Warranties: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI Features: AI-powered features (driver risk scoring, suggested replies, churn prediction, pre-qualification) are provided as decision-support tools and should not be the sole basis for hiring decisions. AI outputs may contain errors and are subject to bias inherent in training data. You are responsible for human review of all AI-assisted decisions.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLEEGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Service Availability: While we target 99.9% uptime for Enterprise plans, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance.

By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Platform until that date.

By Fleegital: We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activity that harms the Platform or other users. We will provide reasonable notice except in cases of severe violations.

Effect of Termination: Upon termination, your right to use the Platform ceases. You may request a data export within 30 days. After 30 days, your data will be permanently deleted except where retention is required by law.

Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Dallas County, Texas.

Dispute Resolution: Before filing a claim, you agree to attempt to resolve disputes informally by contacting us. If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except where prohibited by law.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Entire Agreement: These Terms, together with our Privacy Policy and any applicable subscription agreement or DPA, constitute the entire agreement between you and Fleegital.

Modifications: We may update these Terms from time to time. Material changes will be communicated via email or Platform notification at least 30 days in advance. Continued use after changes take effect constitutes acceptance.
